Kenton M. Bednarz
Serving as Practice Lead of the firm’s Corporate, Mergers & Acquisitions and Emerging Growth practice, Kenton’s extensive legal expertise encompasses a wide array of transactional services, including, mergers and acquisitions, equity and debt financings, and commercial and intellectual property-related contracting. In addition, he draws on his years of experience as general counsel and corporate secretary of a publicly traded Tier 1 international automotive supplier to provide his clients with invaluable general counsel advisory services, including corporate and governance advice, and serves as external counsel for numerous emerging companies.
Kenton is a seasoned professional that provides practical and efficient counsel to his clients with a partner-to-the-business mindset, drawing on his years serving as general counsel and corporate secretary of a publicly traded Tier 1 international automotive supplier as well as in various business leadership roles.
For mergers and acquisitions, Kenton represents private company and private equity clients in acquisition, divestiture, and acquisition-based senior and mezzanine lending transactions. He also counsels clients that provide and receive venture capital investments.
Apart from his transactional work, Kenton assists private companies and emerging growth clients with company formation and provides counsel related to their corporate development and growth strategies. He also provides guidance on commercial transaction structuring, negotiation, and various other corporate, commercial, and operational matters.
Kenton’s prior experience includes serving as a Member of Wolfson Bolton Kochis PLLC, President of Hercules Electric Mobility, Inc., Interim Chief Operations Officer at A.J. Danboise Son Inc. and Danboise Mechanical, Inc., Vice President of Legal and Government Affairs and Corporate Secretary at Shiloh Industries, Corporate Counsel at Guardian Industries, Associate and Partner at Honigman LLP, Summer Associate at Harness IP and Project Engineer at Turner Construction.
Kenton earned his J.D. from Wayne State University Law School, where he was a member of the Wayne Law Review and received the Order of the Coif. He holds a Master of Engineering in Construction Engineering and Management, as well as a Bachelor of Science in Mechanical Engineering, both from the University of Michigan, where he graduated Summa Cum Laude and was a member of Tau Beta Pi and Pi Tau Sigma.
